Platform IP & Usage Agreement
The Shearing Board™ — ShearCore™ Limited
Effective date: 6 June 2026
This Platform IP & Usage Agreement (“Agreement”) applies to all Contractor accounts and forms part of your agreement with ShearCore™ Limited alongside the Terms of Use.
1. Ownership
The Shearing Board™ platform, including its software, architecture, user interface design, workflows, compliance logic, assurance scheme integration methodology, databases, and all associated intellectual property, is owned exclusively by ShearCore™ Limited (“ShearCore”).
The trade marks The Shearing Board™ and ShearCore™ are registered trade marks of ShearCore™ Limited and may not be used without prior written consent.
2. Permitted Use
You are granted a limited, non-exclusive, non-transferable licence to use the Platform for the purpose of managing your shearing contracting business and the staff and farmers associated with it. No other use is permitted.
3. Prohibited Conduct
You must not, directly or indirectly:
(a) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, architecture, database structure, or operational methodology of the Platform or any part of it.
(b) Copy, reproduce, or recreate the Platform's user interface, workflows, compliance capture logic, assurance scheme integration approach, or any substantially similar system for the same or similar purpose.
(c) Develop, build, invest in, or commercialise any substantially similar platform for shearing contractor management, agricultural workforce management, or rural compliance reporting — during your use of the Platform or for 24 months following the date your access ends. This restriction applies within New Zealand and Australia.
(d) Use any data, outputs, reports, methodologies, or workflows generated by or derived from the Platform to train, fine-tune, or develop artificial intelligence, machine learning, or data modelling systems.
(e) White-label, resell, sub-license, or provide access to the Platform to any third party without written permission from ShearCore.
(f) Remove, obscure, or alter any copyright notice, trade mark, or intellectual property notice within the Platform.
(g) Share login credentials or provide access to the Platform to any person who has not agreed to these terms.
4. Your Data
You retain ownership of the operational data you enter into the Platform. ShearCore is granted the rights to store and process that data as described in the Terms of Use and Privacy Policy.
5. Feedback and Suggestions
Any feedback, ideas, suggestions, or improvement requests you provide to ShearCore regarding the Platform become the sole intellectual property of ShearCore™ Limited. ShearCore is under no obligation to act on feedback and no compensation is payable for it.
6. Trade Secrets
The Platform's compliance workflows, assurance scheme field logic, multi-tenant data architecture, and audit pack generation methodology constitute confidential trade secrets of ShearCore™ Limited. You agree to keep this information confidential and not to disclose it to any third party.
7. Enforcement
You acknowledge that breach of this Agreement may cause irreparable harm to ShearCore for which monetary compensation is an inadequate remedy. ShearCore is entitled to seek urgent injunctive or other equitable relief from any court of competent jurisdiction without the requirement to prove actual loss or damage, and without the requirement to post a bond or other security.
8. Reasonableness
The restrictions in this Agreement are considered reasonable given the specialised nature of the Platform, the significant investment in its development, and the legitimate commercial interests of ShearCore™ Limited in protecting that investment. If any restriction is found to be unenforceable by a court, it shall be read down to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
9. Governing Law
This Agreement is governed by the same law as the Terms of Use applicable to your account (New Zealand law for NZ users, Victorian law for Australian users).
